Terms of Use – VPN Service

1. Eligibility

You must be at least 18 years of age to use the Service. By agreeing to these Terms, you represent and warrant that:

• You are at least 18 years old and have the legal capacity to enter into this Agreement
• All information you provide during registration is accurate, current, and complete
• You are not located in, or acting on behalf of any entity located in, a country subject to UK government trade sanctions
• Your use of the Service will at all times comply with applicable local, national, and international law

2. Permitted Use

The Service is provided for lawful personal and commercial use. You may use the Service to protect your internet privacy, secure your connection on public networks, and access the internet through an encrypted tunnel. You must not use the Service in any manner that violates applicable law or regulation or the rights of any third party.

3. Prohibited Activities

The following activities are strictly prohibited and constitute a material breach of this Agreement. Engaging in any of these activities will result in immediate termination of your account without refund and may be reported to relevant law enforcement authorities:

• Using the Service for any unlawful purpose under UK law or the laws of any applicable jurisdiction
• Distributing, transmitting, or facilitating access to malware, ransomware, spyware, viruses, or any other malicious code
• Sending spam, unsolicited bulk email, or any form of unsolicited commercial communications
• Conducting denial-of-service (DoS/DDoS) attacks or participating in botnets
• Engaging in hacking, port scanning, network probing, or any form of unauthorised access to computer systems or networks
• Phishing, identity theft, fraud, or any form of social engineering against third parties
• Hosting, distributing, or accessing child sexual abuse material (CSAM) — this will be reported to the NCA and IWF immediately
• Infringing any third party's intellectual property rights, including copyright infringement via peer-to-peer or torrent networks
• Running Tor exit nodes, open proxies, or anonymous relay services through our infrastructure
• Operating cryptocurrency mining software or botnets on or through our network
• Reselling, sublicensing, or redistributing access to the Service without our prior written consent
• Attempting to circumvent, disable, or interfere with any security features of the Service
• Using the Service to facilitate or conduct terrorism or to promote content that incites violence or hatred

We reserve the right to cooperate fully with law enforcement authorities in cases of verified criminal activity, including disclosure of any account information we hold, to the extent required by applicable law.

4. No-Log Policy

We operate a strict no-logs policy with respect to your online activity. We do not collect, store, or share:

• Your originating IP address
• DNS queries made through the Service
• Browsing history, traffic data, or content of communications
• Connection timestamps or session duration linked to your identity
• Bandwidth usage data linked to your identity

Minimal system-level logs (such as server load metrics used for capacity planning) are retained for operational purposes and are not linked to any individual user's activity. Our no-log policy is subject to our VPN Privacy Policy, which forms part of this Agreement by reference. Note that while we do not log your activity, your use of the Service does not grant immunity from the legal consequences of unlawful activity — third-party services you access may retain their own logs.

5. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:

• Not share your VPN credentials with any third party
• Not use the Service on more simultaneous devices than permitted under your plan
• Notify us immediately at [email protected] if you suspect unauthorised use of your account
• Accept full responsibility for all activity conducted through your account

We will never request your password via email or telephone. If you receive such a request purporting to be from us, treat it as fraudulent and report it to [email protected].

6. Service Availability and Performance

We aim to provide high availability of the VPN Service but do not guarantee uninterrupted access. Factors that may affect availability include scheduled maintenance, emergency infrastructure work, upstream network provider issues, and circumstances beyond our reasonable control. We reserve the right to limit, suspend, or terminate access to the Service if you breach these Terms or if your usage negatively impacts other customers or our infrastructure. Planned maintenance will be communicated via email or our website where practicable.

7. Fair Use Policy

The Service is subject to a fair use policy. Excessive or abusive bandwidth consumption that materially impacts the experience of other customers may result in temporary throttling or, in persistent cases, suspension pending discussion of an appropriate plan. We will contact you before imposing ongoing restrictions except where the impact on our network requires immediate action.

8. Payments, Billing, and Refunds

8.1 Billing

All fees are charged in advance in GBP. Applicable UK VAT will be applied at checkout where required. Payments are processed by our third-party payment processor; by providing payment details, you consent to their applicable terms.

8.2 Late Payment Fees

Any invoice not paid by its due date will be subject to a late payment fee of 15% of the total outstanding invoice amount, applied automatically on the 8th day following the due date. We reserve the right to recover reasonable debt collection costs in addition to the late payment fee where an account remains unpaid after 30 days.

8.3 Refunds

We offer a 7-day money-back guarantee on new monthly subscriptions. Refunds are not available for: accounts terminated due to ToS or AUP violations; annual subscriptions beyond the first 7 days; or accounts where the refund policy has previously been applied. 8.4 Auto-Renewal and Cancellation

Subscriptions renew automatically at the end of each billing period. You may cancel auto-renewal at any time via your account portal. Cancellation takes effect at the end of the current billing period; no partial refunds are given for unused time.

8.5 Price Changes

We reserve the right to change our pricing with at least 30 days' prior written notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

9. Privacy and Data Protection

We process your personal data in accordance with our Privacy Policy and VPN Privacy Policy, both incorporated into this Agreement by reference. You confirm you have read and understood these policies. Where applicable, we act as a data controller in respect of account registration data and as a data processor in respect of VPN traffic (which, per our no-log policy, we do not retain). Your use of the Service must comply with all applicable data protection legislation, including UK GDPR and the Data Protection Act 2018.

10. Intellectual Property

All software, technology, branding, and documentation forming part of the Service are owned by or licensed to Layer 9 Solutions Ltd. You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service solely for the purposes set out in these Terms. You may not copy, modify, reverse-engineer, decompile, or create derivative works from any part of the Service or its underlying technology.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from vulnerabilities. You assume full responsibility for your use of the Service.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Layer 9 Solutions Ltd shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Service. Our total aggregate liability under or in connection with this Agreement shall not exceed the total fees paid by you in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Layer 9 Solutions Ltd, its directors, employees, agents, and subcontractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your use of the Service; your breach of these Terms; any content or activity transmitted through your account; or any third-party claim resulting from your use of the Service.

14. Termination

We may suspend or terminate your account immediately and without refund if you breach any provision of these Terms. You may terminate your account at any time via your account portal. Upon termination, your access to the Service will cease and any account data held by us will be deleted in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or by notice on our website at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

16. Entire Agreement and Severability

This Agreement, together with our Privacy Policy, VPN Privacy Policy, VPN Acceptable Use Policy, and any other incorporated policies, constitutes the entire agreement between you and us regarding the Service. If any provision is held to be invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force. No waiver of any breach shall constitute a waiver of any subsequent breach.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under or in connection with this Agreement.
