Domain & SSL Terms and Conditions

1. Nature of Services and Our Role

We act as a reseller and intermediary for domain registration and SSL certificate services. We are not the operator of domain registries or Certificate Authorities. This means:

• Domain names are registered through accredited third-party registrars on your behalf; ownership of the domain name belongs to you as registrant
• SSL certificates are issued by third-party Certificate Authorities (such as Let's Encrypt, Sectigo, or others) in accordance with their applicable policies
• We are subject to the policies, decisions, and availability of our upstream registrars, registries, and CAs, and cannot override or circumvent their requirements
• Registry and CA policies may change at any time; continued use of your domain or SSL certificate is subject to those current policies
• We do not guarantee the availability of any particular domain name or the issuance of any particular SSL certificate

2. Customer Obligations

By using the Services, you represent, warrant, and agree that:

• All registration information you provide (including registrant name, address, email, and telephone number) is accurate, complete, and current
• You will promptly update your registration details if they change, and understand that inaccurate WHOIS data may result in suspension or deletion of your domain by the registry
• You have the right to register the domain name you are requesting and that doing so does not infringe any third party's intellectual property, trade mark, or other rights
• You will comply with all applicable registry policies, ICANN policies (where applicable), and the policies of any CA whose SSL certificates you purchase
• You will not use domain names or SSL certificates for any unlawful purpose, including phishing, spam, malware distribution, or impersonation
• You accept responsibility for all use of your domain name, including by third parties to whom you delegate access

3. Domain Registration

3.1 Registration Process

Domain availability is checked in real time against the relevant registry but is not guaranteed until we confirm successful registration. In the rare event that a domain is unavailable after payment, we will refund the registration fee in full.

3.2 Registration Period and Renewal

• Domains are registered for the period selected at purchase (minimum 1 year for most TLDs)
• We will send renewal reminders to the email address on your account prior to expiry, but it is your sole responsibility to ensure renewal is completed before the expiry date
• Failure to renew before expiry may result in your domain entering a redemption grace period or being released for re-registration by the public; redemption fees may apply
• We are not liable for the loss of a domain name due to your failure to renew

3.3 Transfers

• Inbound transfers (to our registrar) require you to unlock your domain and obtain the authorisation/EPP code from your current registrar
• Transfers are subject to registry-specific rules, including transfer lock periods (typically 60 days following registration or previous transfer)
• Outbound transfers (away from our registrar) must be initiated by you; we will not unreasonably withhold authorisation
• We are not liable for delays or failures in transfers caused by your current or receiving registrar, or by registry policies

3.4 WHOIS and Privacy

Registrant details may be published in the publicly accessible WHOIS database in accordance with registry requirements. Where available and applicable, we offer WHOIS privacy services to mask your personal details. Use of WHOIS privacy must comply with registry rules; some registries do not permit privacy services for certain TLDs.

3.5 Dispute Resolution

Domain name disputes (including trade mark disputes) are subject to the Uniform Domain Name Dispute Resolution Policy (UDRP) or equivalent registry dispute resolution procedures. We are not a party to such disputes and will comply with binding decisions issued by accredited dispute resolution providers. We may place a hold on a disputed domain pending resolution of a formal dispute.

4. SSL Certificates

4.1 Issuance

• SSL certificates are issued by third-party Certificate Authorities subject to their validation requirements and policies
• Domain Validation (DV) certificates require you to demonstrate control of the domain; Organisation Validation (OV) and Extended Validation (EV) certificates require additional identity verification
• We cannot guarantee that a CA will issue a certificate; issuance is at the CA's sole discretion
• We are not responsible for delays in issuance caused by your failure to complete required validation steps

4.2 Your Responsibilities

• You are responsible for correctly installing and configuring the SSL certificate on your server
• You must renew your certificate before it expires; expired certificates will generate browser warnings and may harm your users and reputation
• You must not use a certificate for a domain or organisation other than as specified during the validation process
• You must promptly request revocation of a certificate if the associated private key is compromised or if the certificate details become inaccurate

4.3 Revocation

Certificates may be revoked by the CA at any time if they determine that the certificate was issued in error, that the associated private key has been compromised, or that you have violated their policies. Revocation decisions are made by the CA and are not within our control. We are not liable for any consequences resulting from certificate revocation by a CA.

5. Fees, Payments, and Refunds

5.1 Pricing

Current prices for domain registration and SSL certificates are published on our website and may change at any time. Changes to renewal pricing will be communicated at least 30 days before the relevant renewal date. All prices are quoted exclusive of VAT; applicable UK VAT will be added at checkout.

5.2 Payment

All fees must be paid in advance. Domain registrations and SSL certificates will not be processed until payment is confirmed.

5.3 Late Payment Fees

Any invoice not paid by its due date will be subject to a late payment fee of 15% of the total outstanding invoice amount, applied automatically on the 8th day following the due date. We reserve the right to recover reasonable debt collection costs in addition to the late payment fee where an account remains unpaid after 30 days.

5.4 Refunds

• Domain registrations are generally non-refundable once processed, as costs are immediately passed to the registry. In the event of a registration failure, a full refund will be issued
• SSL certificate fees are non-refundable once the certificate has been issued
• Refunds for cancelled services prior to processing are subject to our standard Refund Policy
• We cannot provide refunds for fees already passed to upstream registrars or CAs

6. Suspension and Termination

We may suspend or terminate your access to domain management services if:

• You fail to pay any outstanding amounts
• You breach these Terms or use your domain or SSL certificate for unlawful purposes
• We receive a valid legal order or registry instruction requiring suspension
• We have reasonable grounds to believe your domain is being used for phishing, malware, spam, or other harmful activity

Registries and CAs may independently suspend, delete, or revoke services in accordance with their own policies. We will endeavour to notify you of such actions where we are permitted to do so.

7. Intellectual Property and Trade Marks

Registration of a domain name does not confer any trade mark rights or intellectual property rights in that name. You are responsible for ensuring that your domain registration does not infringe any existing trade mark, passing-off rights, or other intellectual property rights held by third parties. We are not responsible for trade mark clearance searches and we are not liable for any infringement claims arising from your domain registration.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• We are not liable for any failure, error, or decision made by a registry, registrar, or Certificate Authority
• We are not liable for the loss of a domain name due to expiry, dispute resolution outcome, registry policy change, or any other cause beyond our reasonable control
• We are not liable for any consequences arising from certificate revocation, expiry, or misconfiguration
• Our total aggregate liability under this Agreement shall not exceed the fees paid by you for the specific service giving rise to the claim in the 12 months preceding the event
• We exclude all liability for indirect, consequential, incidental, or punitive damages

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Layer 9 Solutions Ltd, its directors, employees, agents, and subcontractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your registration or use of a domain name; your use of an SSL certificate; your breach of these Terms or any applicable registry or CA policy; any trade mark, intellectual property, or UDRP dispute relating to your domain name; or any third-party claim arising from your use of the Services.

10. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or website notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

11. Entire Agreement and Severability

This Agreement, together with our Privacy Policy and any other incorporated policies, constitutes the entire agreement between you and us regarding domain and SSL services. If any provision is held to be invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force. No waiver of any breach shall constitute a waiver of any subsequent breach.

12. Governing Law

This Agreement is governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under or in connection with this Agreement.
