These Terms and Conditions ("Terms" or "Agreement") govern the purchase and use of domain registration and SSL certificate services ("Services") provided by Layer 9 Solutions Ltd ("Company," "we," "us," or "our"), a company registered in England and Wales (Company No. 14857666) with its registered office at 124 City Road, London, England, EC1V 2NX. By purchasing or using our Services, you agree to be bound by these Terms in full. These Terms also incorporate by reference the policies of our upstream registrars, domain registries, and Certificate Authorities ("CAs"), which take precedence over these Terms in the event of any conflict.
We act as a reseller and intermediary for domain registration and SSL certificate services. We are not the operator of domain registries or Certificate Authorities. This means:

Domain availability is checked in real time against the relevant registry but is not guaranteed until we confirm successful registration. In the rare event that a domain is unavailable after payment, we will refund the registration fee in full.

Registrant details may be published in the publicly accessible WHOIS database in accordance with registry requirements. Where available and applicable, we offer WHOIS privacy services to mask your personal details. Use of WHOIS privacy must comply with registry rules; some registries do not permit privacy services for certain TLDs.
3.5 Dispute Resolution
Domain name disputes (including trade mark disputes) are subject to the Uniform Domain Name Dispute Resolution Policy (UDRP) or equivalent registry dispute resolution procedures. We are not a party to such disputes and will comply with binding decisions issued by accredited dispute resolution providers. We may place a hold on a disputed domain pending resolution of a formal dispute.

Certificates may be revoked by the CA at any time if they determine that the certificate was issued in error, that the associated private key has been compromised, or that you have violated their policies. Revocation decisions are made by the CA and are not within our control. We are not liable for any consequences resulting from certificate revocation by a CA.
5.1 Pricing
Current prices for domain registration and SSL certificates are published on our website and may change at any time. Changes to renewal pricing will be communicated at least 30 days before the relevant renewal date. All prices are quoted exclusive of VAT; applicable UK VAT will be added at checkout.
5.2 Payment
All fees must be paid in advance. Domain registrations and SSL certificates will not be processed until payment is confirmed.
5.3 Late Payment Fees
Any invoice not paid by its due date will be subject to a late payment fee of 15% of the total outstanding invoice amount, applied automatically on the 8th day following the due date. We reserve the right to recover reasonable debt collection costs in addition to the late payment fee where an account remains unpaid after 30 days.

We may suspend or terminate your access to domain management services if:
Registries and CAs may independently suspend, delete, or revoke services in accordance with their own policies. We will endeavour to notify you of such actions where we are permitted to do so.
Registration of a domain name does not confer any trade mark rights or intellectual property rights in that name. You are responsible for ensuring that your domain registration does not infringe any existing trade mark, passing-off rights, or other intellectual property rights held by third parties. We are not responsible for trade mark clearance searches and we are not liable for any infringement claims arising from your domain registration.
To the fullest extent permitted by applicable law:
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under English law.
You agree to indemnify, defend, and hold harmless Layer 9 Solutions Ltd, its directors, employees, agents, and subcontractors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: your registration or use of a domain name; your use of an SSL certificate; your breach of these Terms or any applicable registry or CA policy; any trade mark, intellectual property, or UDRP dispute relating to your domain name; or any third-party claim arising from your use of the Services.
We may update these Terms at any time. Material changes will be communicated via email or website notice at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
This Agreement, together with our Privacy Policy and any other incorporated policies, constitutes the entire agreement between you and us regarding domain and SSL services. If any provision is held to be invalid or unenforceable, it shall be severed and the remaining provisions shall continue in full force. No waiver of any breach shall constitute a waiver of any subsequent breach.
This Agreement is governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under or in connection with this Agreement.
